1. Acceptance of Terms & Eligibility
These Terms and Conditions (“Terms”) form a binding legal contract between you (“User”, “Buyer”, “Seller”, or “Creator”) and Bhatiserve Technologies Pvt. Ltd. (“PixelMarket”, “Company”, “we”, “us”). You must be at least 18 years old and capable of forming legally binding contracts under the Indian Contract Act, 1872 to create an account and transact on PixelMarket.
2. The Three Commerce Engines
PixelMarket operates a unified marketplace supporting three distinct commerce modalities:
- Freelance Services & Gigs: Sellers provide custom technical, creative, or business services. Deliverables follow milestone scopes, defined revision limits, and agreed turnaround schedules. Buyer funds are protected in platform escrow until review and approval.
- Digital Assets & Instant Downloads: Authors provide downloadable software scripts, Figma systems, templates, audio stems, and 3D assets. Buyers receive a non-exclusive license (Personal or Commercial) as specified on the product page. Redistribution, sub-licensing, or resale of source files is strictly prohibited.
- Phygital Print-on-Demand: Creators sell custom printed apparel, art prints, mugs, and merchandise. Manufacturing, printing, quality verification, and shipping are fulfilled through verified print fulfillment hubs.
3. Escrow Mechanism, Currency & Payments
- Indian Rupee (INR - ₹): All transactions, service packages, product prices, and payout settlements are executed strictly in INR.
- Escrow Guarantee: When a buyer places an order, funds are deposited into a secure escrow holding account. Escrow funds are only transferred to the creator once milestones are approved by the buyer or automatically finalized after the inspection window (typically 3 to 7 days).
- Platform Commission: PixelMarket charges a transparent platform commission (standard 10%) on order totals to cover infrastructure, payment gateway operations, mediation services, and escrow maintenance.
- Taxes & Compliance: Appropriate GST and statutory Tax Deducted at Source (TDS under Section 194-O) will be collected or withheld where required by Indian tax statutes.
4. Intellectual Property Rights
Creators retain all intellectual property rights to their original creations, source files, and artworks. By publishing listings on PixelMarket, creators grant the platform a worldwide, non-exclusive license to host, display, index, and promote the work. Buyers receive only the specific license rights granted under the purchased tier upon full settlement of escrow payment.
5. Prohibited Conduct & Zero Tolerance Rules
All users agree to refrain from:
- Circumvention: Soliciting, transferring, or receiving payments outside PixelMarket to evade platform fees or escrow protections. Doing so results in immediate account banning and forfeiture of pending balances.
- Infringement: Uploading copyrighted material, trade secrets, counterfeit brands, or unlicensed software.
- Malicious Code: Uploading files containing malware, viruses, keyloggers, or unauthorized telemetry.
- Harassment: Engaging in abusive, discriminatory, defamatory, or threatening communications.
6. Cancellations, Refunds & Dispute Mediation
- Service Orders: May be cancelled mutually via the Resolution Center prior to milestone submission. In cases of unfulfilled deliverables, funds are refunded to the buyer's original payment method or wallet balance.
- Digital Products: Given the non-tangible, irrevocable nature of digital downloads, refunds are issued strictly in cases of verified file corruption, major listing misrepresentation, or duplicate billing.
- Physical Prints: Items damaged during courier transit, printing defects, or lost packages verified through tracking logs will receive an immediate free reprint replacement or a full escrow refund.
- Escrow Arbitration: Where buyers and sellers cannot resolve a disagreement, PixelMarket's dedicated dispute team reviews order logs and deliverables. The arbitration ruling is final and binding.
7. Limitation of Liability
To the fullest extent permitted by law, Bhatiserve Technologies Pvt. Ltd. shall not be liable for any consequential, indirect, special, punitive, or exemplary damages. In all circumstances, PixelMarket’s total liability to any user for any claim arising from a transaction shall not exceed the specific order value paid.
8. Governing Law & Jurisdiction
These Terms and all marketplace interactions shall be governed by, construed, and enforced in accordance with the substantive laws of India. Courts of competent jurisdiction in India shall possess exclusive jurisdiction over any disputes.
